An environmentally friendly company founded by Paul Pelosi, Jr., is charged by federal prosecutors with fraud for not it was run by two convicted criminals.
The charges against “Natural Blue” and four associated individuals accuse the company of concealing from investors that two convicted criminals described as “consultants” – James E. Cohen and Joseph Corazzi – actually ran the company, which makes investments in “environmentally friendly ventures.”
Along with Cohen and Corazzi, federal prosecutors also charged former CEOs Toney Anaya and Erik Perry. Anaya is a former New Mexico governor and attorney general. Anaya and Perry settled their charges and Anaya is cooperating with prosecutors.
“While Natural Blue was ostensibly led by Anaya and subsequently Perry, management decisions made by Cohen and Corazzi resulted in no revenues or viable business operations for the company,” the Securities and Exchange Commission said in a statement. “Anaya and Perry each deferred to Cohen and Corazzi in derogation of their responsibilities.”
The SEC suspended trading of Natural Blue stock, and announced the company had not made mandatory periodic filings since September 2010.
The company was founded Pelosi in 2009 and he served as its president, but it is not clear what his current role is.
The SEC’s announcement of the charges make no mention of Pelosi, even it seems to state Cohen and Corazzi founded the company with him and Pelosi was the company president at a time when it appears the defendants were illicitly controlling the company.
“Cohen and Corazzi created Natural Blue so they and other entities they controlled could receive money and stock from the company and profit by hundreds of thousands of dollars,” the SEC stated.
“While Natural Blue was ostensibly led by Anaya and subsequently Perry, management decisions made by Cohen and Corazzi resulted in no revenues or viable business operations for the company. Anaya and Perry each deferred to Cohen and Corazzi in derogation of their responsibilities. Natural Blue and Perry also made various material misrepresentations about the company, its contracts, and its anticipated revenue in a February 2011 press release as well as on a website and verbally to investors,” the SEC further stated.
While BusinessWeek reports Pelosi stepped down as president on January 11, 2010, The Washington Times reports “the New Mexico Office of the Secretary of State Business Service Division currently lists Natural Blue as a company ‘not in good standing’ with Pelosi listed as its president.”
